Terms & Conditions

By creating an account or using any part of the PropVenture platform (the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and any other guidelines or policies incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

PropVenture is a PropTech platform that facilitates fractional real estate investment through joint ventures. We connect property sellers with funders who wish to co-own fractions of real estate assets. PropVenture does not own properties listed on the Platform and is not a licensed real estate broker or financial advisor.

All investment activities on the Platform are conducted between users (Funders and Sellers) and are subject to applicable laws and regulations in the user's jurisdiction.

To use the PropVenture Platform, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using the Platform under any applicable law.
• Complete our identity verification (KYC) process where required.

PropVenture reserves the right to refuse access to any user who does not meet these eligibility criteria or who provides false or misleading information.

You are responsible for maintaining the confidentiality of your account credentials, including your password and wallet PIN. You agree to notify us immediately at support@propventureapp.com if you suspect any unauthorized access to your account.

PropVenture will not be liable for any loss or damage resulting from your failure to protect your account credentials. You are solely responsible for all activity that occurs under your account.

As a Funder on the Platform, you acknowledge and agree that:

• Fractional real estate investment carries inherent financial risk, including the possible loss of your invested capital.
• Past returns on any listed property do not guarantee future performance.
• You are solely responsible for conducting your own due diligence before committing funds to any investment opportunity.
• Funds deposited into your PropVenture wallet are held in trust and may only be used for investment activities on the Platform or withdrawn subject to our withdrawal terms.
• Returns (rent distributions, profit shares) are paid subject to the terms of the specific joint venture agreement for each property.

As a Seller on the Platform, you acknowledge and agree that:

• All property listings must be accurate, complete, and not misleading. You must hold valid legal title or authority to list the property.
• You are required to submit all requested legal and financial documentation for property verification before a listing goes live.
• PropVenture reserves the right to reject or remove any listing that does not meet our verification standards.
• You are responsible for fulfilling the obligations of the joint venture agreement with Funders once a property is funded.
• PropVenture may charge a platform fee upon successful funding of a property, as communicated during the listing process.

PropVenture charges platform fees for certain services. All applicable fees will be clearly disclosed prior to any transaction. By completing a transaction, you consent to the deduction of the stated fee.

Payments on the Platform are processed through third-party payment providers. PropVenture is not responsible for errors, delays, or failures caused by payment processors.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable laws.
• Misrepresent your identity, property ownership, or financial information.
• Attempt to manipulate, interfere with, or disrupt the Platform or other users' access to it.
• Engage in money laundering, fraud, or any other financial crime.
• Scrape, copy, or redistribute any content from the Platform without prior written consent.

All content on the Platform—including logos, trademarks, text, graphics, software, and data—is the property of PropVenture or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

To the maximum extent permitted by law, PropVenture and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or investment capital, arising out of or in connection with your use of the Platform.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to PropVenture in the twelve (12) months preceding the claim.

Any dispute arising from your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the relevant jurisdiction.

These Terms are governed by and construed in accordance with applicable laws. You agree to submit to the exclusive jurisdiction of competent courts for matters not subject to arbitration.

PropVenture reserves the right to suspend or terminate your account at any time, with or without notice, if you breach these Terms or if we have reason to believe your activity poses a risk to other users or the Platform.

Upon termination, your right to use the Platform ceases immediately. Any outstanding obligations—including repayment of funds or fulfilment of joint venture commitments—shall survive termination.
